Beta Tester Confidentiality and Non-Disclosure Agreement

 By accessing, reviewing, testing, participating in, or receiving any materials, information, services, training, demonstrations, or platform access related to Integrated Publications, Integrated Music Wellness (IMW), Integrated Music Wellness Academy, and Auralign™ (collectively, the "Company"), you ("Receiving Party") acknowledge and agree that all information disclosed is confidential, proprietary, and the exclusive property of the Company.

Confidential Information includes, but is not limited to:

• Training materials, curricula, lesson plans, manuals, guides, and assessments
• The Auralign™ methodology, frameworks, processes, models, systems, protocols, and techniques
• Audio, video, digital media, AI-generated content, presentations, and recordings
• Business plans, marketing strategies, pricing, certification programs, licensing models, and operational processes
• Software, websites, portals, applications, databases, and platform functionality
• User interfaces, workflows, concepts, research, unpublished content, and future product plans
• Login credentials, access links, passwords, and security information
• All discussions, communications, feedback, suggestions, observations, recommendations, testing results, and derivative ideas arising from or relating to the Company's materials or services

The Receiving Party agrees to:

1. Use Confidential Information solely for the purpose of evaluating and providing feedback on the Company's products, services, programs, or platform.
2. Maintain all Confidential Information in strict confidence and exercise reasonable care to prevent unauthorized disclosure or use.
3. Not copy, reproduce, record, photograph, screenshot, download, distribute, publish, transmit, modify, reverse engineer, create derivative works from, or otherwise disclose any Confidential Information without the prior written consent of the Company.
4. Not share access credentials, platform access, materials, or Confidential Information with any third party.
5. Promptly notify the Company of any known or suspected unauthorized access, disclosure, loss, or misuse of Confidential Information.

The Receiving Party acknowledges and agrees that all feedback, suggestions, recommendations, ideas, enhancements, modifications, discoveries, or derivative concepts relating to the Confidential Information shall become the sole and exclusive property of Integrated Publications without additional compensation or attribution unless otherwise agreed to in writing.

All intellectual property rights, copyrights, trademarks, trade secrets, methodologies, processes, content, and related materials remain the exclusive property of Integrated Publications. No ownership interest, license, or other rights are granted to the Receiving Party except the limited right to evaluate the materials as expressly authorized herein.

Upon request by the Company, or upon termination of participation in the beta testing program, the Receiving Party agrees to immediately cease use of all Confidential Information and permanently delete, destroy, or return all materials, copies, recordings, notes, and related content in their possession or control.

The Receiving Party acknowledges that unauthorized disclosure or misuse of Confidential Information may cause irreparable harm to the Company for which monetary damages may be insufficient. The Company shall therefore be entitled to seek injunctive relief, equitable remedies, and all other remedies available under applicable law.

This Agreement shall remain in effect indefinitely with respect to trade secrets and proprietary methodologies, and shall survive the conclusion of any beta testing, evaluation period, business relationship, or platform access.

This Agreement shall be governed by and interpreted in accordance with the laws of the State of California, without regard to conflict-of-law principles.

By accessing any materials, platform, program, or information related to Integrated Publications, Integrated Music Wellness (IMW), Integrated Music Wellness Academy, or Auralign™, the Receiving Party acknowledges that they have read, understood, and agree to be bound by the terms of this Agreement.
